THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Informal Dispute Resolution
By using the website and agreeing to these terms of use, you agree that prior to filing any claim, lawsuit, arbitration, or initiating any other legal proceeding relating in any way to the website, our privacy policy, or these terms of use, you will first notify us via email at [email protected] to inform us of the basis for your complaint and to provide us an opportunity to resolve the dispute informally. Any such notice should include a description of the nature of your complaint, the alleged facts giving rise to it, and the relief you are seeking. You agree that you will not file any claim or complaint in any court or initiate any other legal proceedings, including arbitration, unless at least thirty (30) days have passed from the date we receive your written notice and unless the dispute remains unresolved after such time. Nothing in this section is intended to limit any rights or remedies you may have under applicable law that cannot be waived by contract.
Governing Law and Jurisdiction
All matters relating to the website and these terms of use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction).
Any legal suit, action, or proceeding arising out of, or related to, these terms of use or the website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware in each case located in the County of New Castle, Delaware, although we retain the right to bring any suit, action, or proceeding against you for breach of these terms of use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Arbitration Clause
Any dispute relating in any way to your visit to the website, these terms of use, or our privacy policy that has not been resolved through the informal dispute resolution mechanism described above shall be submitted to confidential arbitration in the State of Delaware, except that, to the extent you have in any manner violated or threatened to violate scopivon’s intellectual property rights, scopivon may seek injunctive or other appropriate relief in any state or federal court in the State of Delaware, and you consent to exclusive jurisdiction and venue in such courts.
Arbitration under these terms of use shall not be initiated or proceed until the informal dispute resolution mechanism above has been exhausted. Arbitration under these terms of use shall be conducted under the rules then prevailing in the laws of the State of Delaware. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these terms of use shall be joined to an arbitration involving any other party subject to these terms of use, whether through class arbitration proceedings or otherwise.
Class Action Waiver
By agreeing to these terms of use, you agree that you are required to resolve any claim that you may have against scopivon or any of its affiliates on an individual basis, and not as a class, collective, coordinated, consolidated, mass and/or representative action. This class action waiver will preclude you from bringing any class, collective, coordinated, consolidated, mass, and/or representative action against scopivon or any of its affiliates, and also preclude you from participating in or recovering relief in any current or future class, collective, coordinated, consolidated, mass and/or representative action brought against scopivon or any of its affiliates by someone else. Any and all disputes, claims, or controversies between the parties shall be resolved only in individual proceedings. The parties expressly waive the right to have any dispute, claim, or controversy brought, heard, administered, resolved, or arbitrated as a class, collective, coordinated, consolidated, and/or representative action, and neither a court, judge, arbitrator nor an arbitration provider shall have any authority to hear, litigate, arbitrate, or administer any class, collective, coordinated, consolidated, and/or representative action, or to award relief to anyone but the individual in individual proceedings. The parties also expressly waive the right to seek, recover, or obtain any non-individual relief.
A court, tribunal or arbitrator may not preside over any action joining, coordinating, or consolidating the claims of multiple individuals against scopivon in a single proceeding. If there is a final judicial determination that any portion of this class action waiver is unenforceable or unlawful for any reason, (i) any class, collective, coordinated, consolidated, and/or representative claims subject to the unenforceable or unlawful portion(s) shall proceed in a court of competent jurisdiction; (ii) the portion of the class action waiver that is enforceable shall be enforced in a court of competent jurisdiction; (iii) the unenforceable or unlawful portion(s) shall be severed from this class action waiver; and (iv) severance of the unenforceable or unlawful portion(s) shall have no impact whatsoever on the enforceability, applicability, or validity of the class action waiver.
Waiver and Severability
No waiver by scopivon of any term or condition set out in these terms of use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of scopivon to assert a right or provision under these terms of use shall not constitute a waiver of such right or provision.
If any provision of these terms of use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the terms of use will continue in full force and effect.
Entire Agreement
The terms of use and our privacy policy constitute the sole and entire agreement between you and scopivon regarding the website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the website.
